These terms apply if you use Ask Lucilla as a business, creator or event host ("Provider"). They are part of the Ask Lucilla Terms of Service and sit alongside the Rewards, Cashback & Wallet Terms and the Community Rules.
1. Provider responsibility
Lucilla is a technology platform that connects Providers with nearby users. Lucilla does not own, operate, staff, supervise, inspect, or control any Provider's premises, products, services, events, or in-person activities, and is not a party to any transaction, visit, reward redemption, or event between a Provider and a user.
Providers are solely and fully responsible for everything they offer, host, promote, or fulfill through Lucilla, including any reward, promotion, in-person visit, experience, or event ("Provider Activities"). Each Provider represents, warrants, and agrees that it will:
- comply with all applicable laws, regulations, licenses, permits, and codes, including business licensing, health and food safety, alcohol/liquor licensing and service laws, fire, occupancy and capacity limits, zoning, noise, tax, consumer-protection, advertising, sweepstakes, and accessibility requirements, and laws on incentivized reviews and endorsements;
- not require, reward or incentivize a particular review rating or sentiment. A business may ask customers to leave an honest review, and may offer a reward for leaving one, but the reward must not depend on the rating or content of the review. No reward may depend on a review on Google or any other outside site; Ask Lucilla refuses to create or pay out such a reward. A review written inside Ask Lucilla may be left at any rating;
- verify age and eligibility at the point of service and refuse service or entry where required, for example not serving alcohol to, or admitting to age-restricted events, anyone under the legal age, and honoring all age, identification, and intoxication rules;
- provide a safe environment, carry any insurance appropriate to their premises, activities, and events, and be responsible for the safety, security, supervision, conduct, and crowd control of their events and of any minors present;
- honor, deliver, fund, and accurately describe the rewards, promotions, discounts, tickets, and offers they publish; and
- be responsible for their own conduct and that of their staff, contractors, guests, and attendees.
Lucilla disclaims all responsibility and liability for Provider Activities and for any act, omission, injury, illness, property damage, loss, dispute, or harm arising from or relating to a Provider's premises, products, services, events, rewards, or in-person interactions. Each Provider agrees to indemnify, defend, and hold harmless Lucilla and its affiliates, officers, and employees from any claims, damages, penalties, fines, losses, and expenses (including reasonable legal fees) arising out of or relating to that Provider's Activities, content, or breach of these terms or any law.
2. Listings and content
- Listing information you provide in the app or by text (menus, prices, photos, hours, events) must be accurate, lawful, and yours to use. We may use AI to read photos and messages you send and turn them into listing content; you are responsible for reviewing it
- When you connect a website, point-of-sale or online store, we may import items and prices, previewed before they change your listing
- Prohibited: misleading offers, adult content, illegal products or services, and scams
- Lucilla may edit, hide or remove listings and campaigns that violate these terms
3. Funding USDC campaigns
- USDC rewards and honeypot rewards are funded in full, up front: when you publish, your wallet approves and deposits the whole budget into a Lucilla smart-contract escrow on the Base blockchain. A campaign does not go live until the deposit is confirmed on-chain
- Each claim must pay at least $0.10 USDC, and every campaign must have an end date
- Payouts are made from your escrow as users claim, with no platform fee deducted. Rewards already paid to users cannot be refunded
- No fee is charged when you create a campaign
- If you use Lucilla's enterprise dashboard, campaigns may be funded, and prizes or cashback paid, from a Circle business wallet that Lucilla manages on your business's behalf under your instructions and enterprise arrangement
- Some distribution methods (such as equal-split or draw-style payouts) and fallback cashback payments are sent by Lucilla's servers from a Lucilla-operated wallet or your managed business wallet rather than directly from escrow
- Cashback. If you offer cashback, you fund a cashback pool in advance. Each payout is made from that pool to the customer's wallet. Any variable-amount cashback must follow Section 6 of the Rewards, Cashback & Wallet Terms
4. Unclaimed funds
- Unclaimed funds (the budget minus the rewards already paid) are returned in full, with no fee, to the wallet address that funded the campaign escrow
- This happens automatically after the campaign's end date, or earlier when the campaign is deactivated or you reclaim unclaimed funds
- If Lucilla funded a campaign on your behalf, unclaimed funds return to Lucilla
- Any member of your business's team can deactivate a campaign, which triggers the refund
5. Staff and team
- You can add staff to your business by username or phone number, as an admin or a team member. Staff invitations expire after 14 days
- Anyone on your team can redeem customers' codes and check in event tickets. Checking in a ticket releases its escrow to you
- You are responsible for everything your team does with your business account, and for removing people who should no longer have access
6. Business plans and fees
- Plans. Free ($0); Starter, US$30/month; Business, US$100/month; and Enterprise, custom pricing under a separate written agreement. Listing your business is free on the Free plan
- Paid plans raise your monthly limits and lower the event-ticket platform fee: Free 10%, Starter 5%, Business 4%, Enterprise 3%. The ticket fee is never charged on sales tax. Customer limits per month are: Free 50 claiming customers, Starter 300, Business 2,500, Enterprise unlimited. Monthly limits reset at the start of each calendar month
- No fee is charged on reward claims, on any plan
- Prices exclude applicable taxes. Paid plans are billed through Stripe and renew automatically until you cancel in the business dashboard. The billing periods available to you are shown at checkout
- Ask Lucilla may charge a platform fee on payments customers make in the app for bookings and orders. Every fee is shown in the app before it applies. Prices and fees may change with 30 days' notice
7. Getting paid, refunds and taxes
- Card payments from customers are made through your own Stripe account; you are the merchant of record and responsible for refunds, chargebacks and disputes. USDC payments go to your business wallet, and ticket proceeds are released from escrow as described in the Rewards, Cashback & Wallet Terms
- Ask Lucilla never holds your sales proceeds or the sales tax collected for you. You are responsible for registering for, charging and remitting any sales tax on what you sell, including tax passed to you with ticket proceeds
- Your taxes are yours to decide. You are the seller of everything you sell through Ask Lucilla. You alone determine which taxes apply to your sales, collect them from your customers and remit them to the tax authorities. Ask Lucilla applies and records only the tax settings you configure; it does not determine, verify or remit taxes for you, gives no tax advice, and is not the seller of your goods or services
- You must honor the deals you publish, including deals applied in your online shop's checkout, and fulfil any delivery you offer with your own people
8. Customer data and messaging
- In the app, you see your customers by @username together with their city, the rewards they claimed and when, and campaign statistics. Event hosts see guest names, photos and check-in status, and the information applicants provide
- Customers' names, email addresses and phone numbers are available only through the enterprise dashboard and emailed reports, and only while the customer holds a consent to hear from your business (recorded when they claim your reward: email, plus text messages if their phone is verified) and has not unsubscribed
- You must use customer data only for lawful communications related to your business, message only customers whose consent is current, honor unsubscribes immediately, include an unsubscribe option in your messages, comply with applicable privacy and anti-spam laws (including GDPR, CCPA, PIPEDA, CASL, CAN-SPAM and TCPA), and not sell, transfer or share customer data with unrelated third parties
- Email. If you connect your own Gmail, the customer emails you send through Ask Lucilla (such as booking confirmations and dispute notices) are sent from your own Gmail address using a send-only permission, you can disconnect at any time, and there is a daily sending cap. Without a connected Gmail they are sent through Lucilla's sender (Resend). You remain the sender and must follow the rules in this section
- Texting rules are in the Text Messaging Terms
- Questions customers send you through Lucilla arrive without their phone number; do not attempt to identify or contact them outside the thread unless they choose to share their details
9. Connected services and business data imports
You may link third-party services to your business account. Live today: Klaviyo, Canva, Monid, Outlook Calendar, GoHighLevel, Square, WooCommerce, Squarespace, Calendly, Lightspeed, Vagaro, QuickBooks and Xero; Google Calendar, Google Sheets, Google Docs, Google Drive, YouTube, Messenger, Instagram and WhatsApp Business are also supported. Others (such as Clover, Shopify, Toast and Mindbody) are awaiting the provider's approval, and more are listed as coming soon in the app and are not available until they are marked live. Availability can change.
- You may only link accounts you are authorised to use, and you are responsible for the accuracy of anything imported from them
- Imports are previewed before they change your listing, and nothing imported overwrites edits you made in Ask Lucilla without your confirmation
- Linking a service does not transfer any of your rights in that service to us, and each service remains subject to its own terms
- Marketplace and shop connectors (such as Etsy, eBay, Squarespace, BigCommerce and WooCommerce) are used to read order totals, item names and quantities so deals and results can be shown; they do not read buyer personal details
- Messaging platforms (Messenger, Instagram, WhatsApp): you remain the sender of every reply and must follow that platform's rules, including time windows and opt-in requirements
- Point-of-sale: the provider remains your system of record, and Ask Lucilla never processes the payment inside it
- You can unlink a service at any time; content already imported stays in your listing until you remove it
10. Connecting an AI agent
You may authorise an AI assistant of your choice to use your Ask Lucilla account through our agent connection. By approving a connection you confirm that the agent acts on your instructions and that you are responsible for what it does with the permissions you grant it, as if you had done it yourself. We limit each connection to the permissions you selected, require explicit approval for actions with a consequence (such as spending money, changing spending limits or approving a purchase), and let you revoke the connection at any time. We do not control the agent provider and are not responsible for its availability or accuracy. If a connection is used in a way that breaks these terms or appears compromised, we may suspend it without notice.
